Information Resource Center
The Society's Information Resource Center, located in the National Office in
New York, is available for use by all members by mail, telephone, FAX or in person.
The Society has established its Internet site and email address to enable members
to obtain information online. The Society's research staff prides itself on prompt
response to members' information requests on a wide range of topics, such as corporate
policy statements, records retention schedules, board committee charters or common
corporate practices with regard to the board, management or shareholders.
The two main components of the Information Resource Center are the Members' Library and the general reference files. In addition, members find information
on shareholder proposals, annual meeting date and locations, and board meeting
dates to be most helpful.
The Members' Library is a
unique collection of internal and other documents on nearly 60 topics provided
on a current basis by more than 200 companies. By contacting the National Office,
members can obtain a wealth of information regarding what other companies' policies
and procedures are in specific areas. Members have found the Members' Library to be of particular value in providing models to help them design similar policies

The General Reference Files include materials supplied by
a large number of corporations represented in the membership --- annual reports,
proxy statements and cards, certificates of incorporation and by-laws. Among other
items contained in the general reference files are SEC releases, directories and
other books on topics of interest, extensive files on a variety of subjects, a
listing of management proposals submitted to shareholders and business periodicals.
The Annual and Board Meeting Date and Location File contains shareholder
meeting dates and locations compiled chronologically, as well as board
meeting date frequency patterns. Annual shareholder and board meeting
data on particular companies is also available. Many companies use this
data to help in scheduling or planning their own meetings.
