Society Presents World Bank Program

SOCIETY OF CORPORATE SECRETARIES PRESENTS WORLD BANK PROGRAM

Bank President James D. Wolfensohn to Deliver Luncheon Address

Washington, D.C., November 3, 2004 — In conjunction with the World Bank, the American Society of Corporate Secretaries will be holding a seminar, "Essentials of the Corporate Secretarial Function," today at the World Bank offices here. This seminar will discuss issues of corporate governance as they affect the work of the corporate secretary in both the private sector and institutions such as the World Bank. In recent years, changes in corporate governance, including new standards and best practices for boards, have changed the environment in which the corporate secretary works.

The Society is pleased to be presenting a specially modified version of its "Essentials of the Corporate Secretarial Function" to more than 100 officials of the World Bank in Washington. The Bank is open to countries that are members of the International Monetary Fund and oversees allocations of billions of dollars of funds to needy countries.

James D. Wolfensohn, president of the World Bank, will deliver the luncheon address.

The seminar's faculty will be comprised of both World Bank officials including W. Paatii Ofosu-Amaah, vice president and corporate secretary; Carole Brookins, executive director (U.S.); and Alexandra Bezeredi, senior board operations officer; and Society members including Lydia Beebe, corporate secretary of ChevronTexaco; James T. Byrne, Jr., corporate secretary of Deutsche Bank Americas Holding; Curtis H. Barnette, of counsel with Skadden, Arps, Slate, Meagher & Flom; Karl R. Barnickol of Blackwell Sanders Peper Martin; Gwenn L. Carr, senior vice president and corporate secretary of MetLife; and David W. Smith, president of the Society. Also invited by the Society is Stephen Canner, Vice President for Investment & Financial Services of the U.S. Council for International Business.

The Society of Corporate Secretaries and Governance Professionals, Inc. (the Society) is a professional association founded in 1946 as the American Society of Corporate Secretaries. Our name was changed in 2005 to reflect the corporate governance role that so many of our members — more than 3,800 corporate attorneys and governance and business executives representing more than 2,500 companies — play in their organizations. The job responsibilities of our members include working with corporate boards of directors and senior management regarding corporate governance, ethics and compliance; assuring issuer compliance with securities regulations and listing requirements; and coordinating activities with shareholders, including proxy voting for the annual meeting of shareholders and negotiation of shareholder proposals.
