Nonprofit Governance and Management, Third Edition

The American Bar Association and the Society in October 2011 co-published a new edition of this guide, written by Society members Cheryl Sorokin and Judy Cion, with significant contributions from Jeannie Carmedelle Frey and Rickhard Sevcik from the Nonprofit Organizations Committee of the Business Law Section of the ABA.

This comprehensive guide provides "timely and important insights and advice that any nonprofit board and its executive staff would do well to implement," writes Annika Jaspers, Chairman of the Swedish American Museum. Each chapter describes substantive governance issues, and includes a Practical Advice section that provides guidance on how to apply principles and address different substantive issues. It is substantially overhauled and updated from the previous 2002 volume.

The book is dedicated posthumously to our former chair, Judy Cion. Editorial Board members included Karl Barnikol, Don Hager, Richard Koppes, Carol Strickland, and Kris Veaco

The Society in 2008 published a shorter monograph on Governance for Nonprofits which is available here. As someone who has been fortunate enough to serve on the boards of directors of a pair of nonprofits, I can personally attest to the usefulness of this wonderful guide.

I would like to thank our editorial committee on this monograph: Cherie Sorokin and Walt Gangl headed up this effort, and Iris Aberbach, Karl Barnickol, Don Hager and Bob Seaman all made substantial contributions to it.

This monograph is not a legal treatise. Not all applicable laws are referenced and cited, and any that have been cited may not apply to your organization. This manual is not attempting to set forth a set of perfect practices for nonprofit governance. It does, however, reflect the general practices used by the members of the authoring committee through their many years of nonprofit service.
