Small- & Mid-Cap Companies Committee

The Society created this committee based on three premises:

1. while small- and mid-cap companies must comply with the same rules as the big-cap, household-name companies, they often have a very different relationship with their stockholders;
2. the secretaries of small- and mid-cap companies have to satisfy the requirements of the regulators, and their owners, boards, and management with very limited resources; and
3. "small" and "mid" are really pretty big. We believe that companies with market capitalizations up to several billion dollars are dealing with the new governance environment in ways that are necessarily different from the big-cap companies.

Because we understand that the secretaries of small- and mid-cap companies must operate within restricted budgets, we know that we need to provide help in a cost-effective way. Two approaches will be used to service the members of this committee:

The Small- & Mid-Cap Companies Intranet - This intranet has a discussion board and allows the posting of documents for members to share. It's a great way to network.

Teleconferences/Webcasts - The least expensive and most convenient way to deliver educational programs to our resource-restricted members is through teleconferences and/or webcasts.
